IG Industries Plc has acquired the remaining 50 per cent shareholding in Impresa Limited previously held by KMN plc, resulting in the consolidation of control within the Borg family and effectively placing the group fully under Joseph Borg’s control.
The acquisition, which took effect on 12th February 2026, forms part of the restructuring outlined in the December 2025 prospectus and was partly financed through the proceeds of the €10.8 million bond issue.
Concurrently, minority stakes previously held by Anton Borg in Elepac Limited, Meritlink Limited, Eurosupplies Limited and IG Finance plc were transferred to Joseph Borg.
The acquisition is tied to the group’s wider financing and restructuring plan set out in the prospectus summary issued in connection with IG Industries’ bond issue.
According to the summary, IG Industries Plc issued a prospectus in respect of an offering of up to €10.8 million in 5.75 per cent unsecured callable bonds due 2031–2036.
The same document lists the intended use of proceeds, including around €2,000,000 earmarked to part-finance the acquisition of the shares held by KMN plc in Impresa Limited.
The prospectus summary also explains that IG Industries Plc was established as a financing vehicle within the group and is ultimately dependent on the operations and performance of Impresa Limited and its subsidiaries.
Impresa Group is mainly involved in the manufacture of high-precision plastic injection-moulding, sheet-cutting and sheet-thermoforming, as well as electrical installation products. It is the main shareholder of Elepac Limited, which produces high-precision injection-moulding products primarily for the electronic and toy industry. Over time, the group also diversified into the supply of electrical cable and the warehousing and distribution of consumer packaging media for industry.
IG Finance plc was incorporated in 2016 to act as the financing company of Impresa Ltd and its subsidiary undertakings.
