APS Bank has announced the successful completion of its latest Rights Issue, raising a total of €46.4 million and confirming strong investor confidence in the institution.

The Rights Issue, first detailed in company announcement October 2025, offered shareholders the opportunity to subscribe to three new shares for every eleven shares held, at a price of €0.44 per share. The offer period closed on 14th November 2025.

According to the bank, demand exceeded the amount of shares on offer, resulting in an over-subscription. As a result, no excess shares will be made available, and the intermediaries’ offer originally planned for 24th November 2025 will not take place.

In October the bank received orders for just under €30 million worth of new shares through a placement, after its majority shareholders, the Archdiocese of Malta and the Diocese of Gozo, chose to forgo their rights in an effort to reduce their holdings. This move means the Church's ownership stake in APS Bank continued to decline. 

The 67.6 million new shares not taken up by the Maltese and Gozitan dioceses were offered to investors capable of committing a minimum of €500,000, at the subscription price of €0.44 per share.

Demand for shares exceeded supply, resulting in an over-subscription. Consequently, no Excess Shares will be made available, and the Intermediaries’ Offer initially scheduled for 24th November 2025 has been cancelled.

APS Bank confirmed that all Provisional Allotment Letters (PALs) received are currently being processed. The Bank will issue a further announcement in the coming days, providing details on the Allocation Policy and the updated timeline for the listing of the new shares.

The successful fundraising marks another milestone for APS Bank as it continues to strengthen its capital base and support ongoing growth initiatives.
