Hudson Malta Sales Limited has merged with local retailer Trilogy Limited, completing a move that has been in the works since 2022, Hudson Malta plc announced on Thursday.
The merger by acquisition became effective on 21st February 2024, with the acquiring company, Hudson Malta Sales, succeeding to all the assets, rights, liabilities, and obligations of Trilogy Limited.
As a result, Trilogy Limited has now ceased to exist, and was struck off on the same date that the merger became effective.
Hudson Holdings Limited, the parent company of Hudson Group, had entered negotiations for the acquisition of Trilogy Limited in 2020, before it reached a share-for-share exchange agreement in 2021, leading to Trilogy Limited's shares being transferred to Hudson Holdings. The move was done in order to “strengthen Hudson Group’s retail operations” and “improve the services offered to customers.”
The acquisition was completed in February 2022, with Trilogy Limited becoming a fully-owned subsidiary of Hudson Group.
A few months later, as part of a wider restructuring exercise, Hudson Group announced plans for Trilogy Limited to be amalgamated into Hudson Malta Sales, and this transaction has now been finalised.
Trilogy Limited was a local company that represented Calvin Klein, Armani Exchange, Mango, Tommy Hilfiger, and Tommy Jeans in Malta, up until its merger with Hudson Malta Sales this week.
Primarily involved in the sportswear and fashionwear sectors, Hudson Holdings was established in 2006, yet the group’s roots go as far back as 1987, when Hudson Group started selling NIKE in Malta. It represents a number of international brands locally, including NIKE, Intersport, Ted Baker, Converse, Crocs, Kiabi, and Mango, among others.
Last year, Hudson Group announced that it is in talks with international retail giant Frasers Group plc about possibly bringing some of its renowned brands to Malta, including Sports Direct. Advertising boards at Mercury Towers have popped up since then, but there is yet to be an update on negotiations with Frasers Group.
