Bank of Valletta plc has obtained regulatory approval to renew and upsize its Euro Medium Term Note (EMTN) Programme to €650 million, as the bank eyes its second international market transaction following its debut issuance in 2022.

The updated programme, approved by the Central Bank of Ireland through a base prospectus dated 15th May 2026, replaces the bank’s previous €500 million EMTN Programme established in 2022.

Under the programme, BOV is currently considering the issuance of up to €300 million in Senior Preferred Notes to professional investors in both international and domestic capital markets. The bank said the issuance forms part of its long-term funding strategy aimed at supporting balance sheet growth and strategic development initiatives.

Commenting on the development, Gordon Cordina said the move “marks another important milestone in the Bank’s access to international capital markets.”

“It is aimed to strengthen and diversify our wholesale funding base while supporting the continued optimisation of our liability structure in line with evolving regulatory expectations,” he said.

Meanwhile, Kenneth Farrugia said the bank recently conducted a series of non-deal roadshows across key international markets to engage with global investors and present its strategy.

“The strong level of engagement across these meetings highlights continued confidence in the Bank’s strategic direction, financial performance and robust balance sheet,” he said.

Mr Farrugia added that the expected transaction would support the bank’s lending growth and financing needs, while also broadening its investor base beyond the domestic market.

The notes will carry a minimum denomination of €100,000 and will be targeted solely at professional clients and eligible counterparties. They will not be offered to retail investors in the European Economic Area or the United Kingdom.

The notes are expected to be admitted to listing on the Official List and traded on the regulated market of Euronext Dublin.
