Together Gaming Solutions plc has announced the regulatory approval by the Malta Financial Services Authority to list 12.5 million 6.25 per cent new unsecured callable bonds, due between 2030-2032, guaranteed by its ultimate parent company, Cherry with Friends AB.

Together Gaming is a cloud-based platform solution licensed in multiple jurisdictions and powers more than 50 brands, including Bethard. The gaming company was a subsidiary of Gameday Group. It was later acquired by its current parent company, a Swedish iGaming firm in January 2024.

As part of the proposed bond issue, the company intends to offer the holders of its outstanding €14.76 million 5.9 per cent unsecured bonds callable between 2024 and 2026 the option to subscribe for the new bonds. This would be done in exchange for the return and cancellation of the existing bonds.

Now, the bonds will be listed on the Official List of the Malta Stock Exchange. These will be available for subscription by three categories of investors:

  • Holders of existing bonds may apply for new bonds through an "existing bond transfer," up to the value of the bonds they held as of the relevant cutoff date.

  • For any remaining bonds not subscribed to under the first category, holders of existing bonds may apply for additional bonds (paid for in cash) beyond the total nominal value of the existing bonds they held as of the cut-off date and used for the existing bond transfer.

  • For any remaining bonds not subscribed to by holders of existing bonds under the first two categories, authorised intermediaries may subscribe through an intermediaries’ offer.
